Terms of Service

These terms govern the services Nexio provides to business clients: WhatsApp AI agents, websites and mobile applications, advertising management, and the related setup and support. A signed service agreement with a client takes precedence over this page wherever the two differ.

Who provides the service

Nexio is a service brand operated by Alveo Global Trading F.Z.E (Ajman Free Zone, United Arab Emirates). Nexio AI SARL (Abidjan, Côte d'Ivoire) is an affiliated company under common ownership. Contact: contact@nexio.ci.

Who these terms are for

Our services are sold to businesses, not to consumers. By engaging us you confirm you are acting for a business and that you are authorised to bind it.

Your WhatsApp account stays yours

You own your WhatsApp Business Account, your business portfolio and your phone number. Nexio operates them as your service provider. We never take ownership, and you can revoke our access at any time.

Messaging rules and consent

WhatsApp is governed by Meta's own policies, and those apply to you as the account owner. You are responsible for having a lawful basis to message the people you message, and for keeping records of opt-in where consent is the basis. We will not send bulk marketing on your behalf without evidence of consent, and we may decline or stop a campaign that we believe puts your account at risk.

Meta can restrict or disable a business account for policy breaches. We will do our best to keep you inside the rules, but we do not control Meta's enforcement decisions and we cannot guarantee any outcome from them.

Data protection

Where we process personal data belonging to your customers, you are the data controller and Nexio is the data processor. We process that data only on your instructions and only to deliver the service. Our own handling of personal data is described in our Privacy Policy.

Fees

What we do not promise

We build systems that answer and sell on your behalf. We do not promise a particular volume of sales, leads, replies or advertising performance, because those depend on your market, your offer and your pricing. Automated replies are generated by artificial intelligence and can occasionally be wrong; you should review anything commercially significant before relying on it. A human can take over any conversation at any time.

We depend on services we do not operate, including Meta's WhatsApp Business Platform, hosting providers and AI providers. Interruptions at those providers can interrupt your service.

Limits on liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, our total liability to you for any claim is limited to the fees you paid us for the service in question in the twelve months before the claim arose. We are not liable for lost profits, lost data, or indirect or consequential loss. In particular, our liability for a restriction or ban imposed on your account by Meta is capped at the fees you paid us, and is excluded entirely where the restriction follows from content or contacts you supplied.

Confidentiality

Each of us will keep the other's non-public business information confidential and use it only to perform the engagement.

Ending the engagement

Either of us may end the engagement in line with the notice period in your service agreement. On termination you keep your accounts, your number and your data; we remove our access; and the 30-day migration assistance above applies. Fees already earned remain payable.

Changes to these terms

We may update this page. Material changes will be notified to active clients in writing before they take effect. Your signed service agreement is not changed by an update to this page.

Governing law

Unless your service agreement says otherwise, these terms are governed by the laws of the United Arab Emirates, and the courts of the emirate in which Alveo Global Trading F.Z.E is registered have jurisdiction.
